Board of Directors - Executive

Board of Directors
The Board of Directors shall be composed of the President, the Vice President, Treasurer, most recent Past President still active with Active Members, and five (5) elected representatives of Active Members. Only one representative of a Member may serve on the Board of Directors at the same time.

The Chief Staff Executive shall be appointed by the Board of Directors, and shall serve at the pleasure of the Board. The Board of Directors shall appoint all employees and officers which it considers necessary for the conduct of the Association’s business and shall determine their terms of service, duties and compensations. The Chief Staff Executive and any other employees involved in the receipt and disbursement of Association funds shall be properly bonded.

The President
The President shall preside at meetings of the Association and of the Board of Directors and shall be a Member ex-officio, with right to vote, of all committees except the Nominating Committee, and shall perform such other duties and have such other powers as the Board of Directors may from time to time prescribe.

The Vice President
The Vice President shall perform the duties of the President in the event of the President’s absence or disability, and shall perform such other duties and have such other powers as the Board of Directors may from time to time prescribe.

Chief Staff Executive
The Chief Staff Executive or his designee shall give notice of and attend all meetings of the Association and keep a record of the same; conduct correspondence and carry into execution all orders, votes and resolutions not otherwise committed; collect the dues and assessments and keep a correct account of the moneys belonging to the Association and report on a regular basis, as determined by the Board of Directors, all income and disbursements to the Treasurer and Board of Directors; notify Members of their appointment on Committees; perform such other duties and accept such responsibilities as assigned by the Board of Directors; and generally to devote his or her best effort toward advancing the interests of the Members of the Association; and shall act as Secretary of the Association.

The Treasurer
The Treasurer shall make budget recommendations annually to the Board of Directors, and shall monitor all disbursements made by the Chief Staff Executive. TEANA Proposed Officer/Committee Responsibilities

Committees are the backbone of an Association. They are the catalysts through which the Association can develop meaningful and effective programs that benefit members and the entire industry. Members who volunteer their time and expertise to serve on an Association committee play a vital role in the success and growth of TEANA as a whole.
